Experience
Charles Plohn, Jr.’s distinguished career has spanned over 45 years on Wall Street, including 34 years (1974-2008) at Merrill Lynch as a Managing Director and the Manager of the Special Equity Transactions group in Equity Capital Markets. His responsibilities have included the marketing and implementation of corporate open-market stock repurchase programs and self-tenders, executing sales of control and restricted securities, and coordinating confidential accumulations and sales of securities, generally in connection with merger and acquisition assignments. He also prepared “valuation letters” as to the fair market value of control and restricted securities for donation, estate tax, and privately-negotiated corporate stock repurchase purposes and has participated in a variety of other special equity transactions.
While at Merrill Lynch, Mr. Plohn’s group implemented as exclusive or rotating agent more than 3,000 open-market stock repurchase programs, including more than 25% of the programs of $1 billion or greater ever announced. He coordinated the trading aspects of Merrill Lynch’s role as a dealer-manager in 7 of the 15 largest equity Dutch Auction and fixed price self-tender offers ever announced, including the 3 largest self-tenders ever completed. Mr. Plohn has participated as a featured speaker and panelist in several stock repurchase seminars and conferences, appeared on television and radio stock market report programs, and has been featured and quoted in various newspaper, internet and financial magazine articles. He has made invited presentations to the Securities and Exchange Commission and to the New York Stock Exchange, has been an annual guest speaker in a Corporate Restructuring course at Princeton University, and has co-authored a chapter entitled “Strategies and Tactics of Share Repurchases” for a corporate restructuring book. He is a former member of the American Stock Exchange, National Stock Exchange, New York Mercantile Exchange, New York Society of Security Analysts, and Financial Analysts Federation.
Mr. Plohn provides consulting and expert testimony services on securities, capital markets, corporate finance, and valuation issues. His expertise includes, but is not limited to, providing independent analysis and strategic advice regarding corporate stock repurchases to companies, law firms, and other participants in stock buybacks. He also provides independent valuation services and expert testimony as to the fair market value of publicly traded blocks of stock, including control and restricted securities, to high net worth individuals, government agencies, bank trust departments, corporations, and law and accounting firms.
